Shopee International Platform Terms of Service

1. Introduction
1.1 Welcome to the Shopee International Platform Program (“Program”).  This Program is an additional service provided by Shopee Southeast Asia Limited and its affiliates and subsidiaries (“Shopee”) where Shopee-registered Sellers based in Malaysia (“Malaysia Seller”) that list items for sale on or through the website www.shopee.com.my (the “Malaysia Site”) via a shop on the Malaysia Site (“Malaysia Shop”) may simultaneously list their products on and through the website, and mobile app, or any other internet domain property of Shopee or its affiliates (hereinafter collectively referred to as “Shopee Overseas Sites”).  This Shopee International Platform Terms of Service is intended to cover the activities provided by Shopee to Malaysia Sellers under this Program including, without limitation, collecting, reconciling and executing all transactions between Malaysia Seller and a buyer under this Program.  If you are a Malaysia Seller, you will be deemed to have consented to the terms and conditions of the Shopee International Platform Terms of Service and other Shopee Polices, of which these Shopee International Platform Terms of Service forms a part, by your continued participation in the Program.  These Shopee International Platform Terms of Service supplement the Terms of Service and the other Shopee Policies – please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations.  Any terms that are used in these Shopee International Platform Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policies.  All terms and conditions described in these Shopee International Platform Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.   

1.2 Shopee reserves the right to change, modify, suspend or discontinue all or any part of this Program at any time or upon notice as required by local laws. Shopee may release certain services of the Program or their features in a beta version, which may not work correctly or in the same way the final version may work, and we shall not be held liable in such instances. Shopee may also impose limits on certain features or restrict your access to parts of, or the entire, Program in its sole discretion and without notice or liability.

1.3 If you wish to withdraw from the Program, you are required to write to support@shopee.com.my or call +6032777 9222. Once we have received your email or call, we will proceed to remove your listings from the Shopee Overseas Sites. Please note that it may take up to 7 days for all your listings to be removed from the Shopee Overseas Sites and you are required to continue to fulfill any orders made during this period.

1.4 In the event of any discrepancies between the terms in the Shopee Policies and this Shopee International Platform Terms of Service, this Shopee International Platform Terms of Service shall continue to apply.

2. Dual-listing of items on Malaysia Site and Shopee Overseas Sites
2.1 By participating in the Program, Malaysia Seller authorizes Shopee to open and operate a store on the Shopee Overseas Sites on Malaysia Seller’s behalf (“Overseas Shops”).  The services provided by Shopee shall include creating, maintaining and removing listings, chat services, inventory services, reporting services and collection and remittance of sale proceeds.

2.2 The Overseas Shops shall offer the same products that Malaysia Seller lists for sale on its Malaysia Shop. The price of items listed in the Overseas Shops (“Overseas Listing Price”) shall be determined by Shopee, at its sole discretion, in the local currency of the Shopee Overseas Sites.  The price of items listed in the Malaysia Shop (“Malaysia Listing Price”) shall continue to be determined by Malaysia Seller, at its sole discretion.

3. Sale of items on Shopee Overseas Sites
3.1 Upon the sale of an item under this Program on the Shopee Overseas Sites:

1. Malaysia Seller shall, at its sole cost, arrange to have the purchased item delivered to an address notified by Shopee to the Malaysia Seller;
2. Shopee shall collect the Overseas Listing Price from the buyer in the local currency; and
3. Shopee shall remit the Malaysia Listing Price to the Malaysia Seller in Malaysian Ringgit (less any applicable fees, charges, commissions and other deductions).  

3.2 The order shall be subject to reasonable inspection by Shopee and Shopee may reject any products that are defective, not in accordance with the requirements under the Order, are reasonably believed to be counterfeit or otherwise breach the Terms of Service or Shopee Policies.

4. Obligations, Representations, and Warranties
4.1 Nothing in this Shopee International Platform Terms of Service shall release the Malaysia Seller from any of its obligations, liabilities, representation or warranties to a buyer pursuant to the Terms of Service, Shopee Policies or by operation of law in relation to its products.

4.2 For avoidance of doubt, any fees applicable to Malaysia Seller as provided in the Terms of Service and the Shopee Policies, shall continue to apply.

4.3 You also warrant that the listings made available on the Affiliate Platform shall not infringe upon the copyright, trademark or other intellectual property rights of third parties and the publication and distribution of the listings on the Affiliate Platform will not infringe the rights of any third parties.

4.4 You agree to indemnify, defend and hold harmless Shopee, and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners, an employees (collectively, the "Indemnified Parties") from and against any and all claims, actions, proceedings, and suits and all related liabilities, damages, settlements penalties, fines, costs and expenses (including, without limitation, any other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to: (a) any transaction made on the Shopee Overseas Sites, or any dispute in relation to such transaction, (b) the Shopee Guarantee, (c) your violation or breach of any term of these Shopee International Platform Terms of Service or any policy guidelines referenced herein, (d) your use or misuse of any of the Services, (e) your breach of any law or any rights of a third party, or (f) any Content uploaded by you.
